JUNE International Paper reached a definitive merger agreement with Champion International after Finnish company, UPM-Kymmene withdrew from the bidding.  IP will purchase Champion for $75 per share in cash and stock.  IP’s offer is valued at approximately $7.3 billion, excluding $2.3 billion in net debt.

AUGUST Georgia-Pacific Corp. and Fort James Corp. signed a definitive merger agreement for G-P to acquire all outstanding shares of FJ in a transaction valued at approx $11 billion.
G-P entered into joint venture agreement with National Packaging Solutions Group to create Millennium Packaging Solutions, LLC (formerly Model Box Inc. of America).  G-P will serve as the operating partner of NPSG’s Chattanooga, TN based box plant.

OCTOBER UPM-Kymmene Corp. and Repap Enterprises Inc. announced they signed an acquisition agreement under which UPM-K acquires Repap in a transaction to be affected by way of an amalgamation.
UPM-K’s The APRIL Group (Asia Pacific Resources International Holdings Ltd.)  signed a definite share purchase agreement to sell APRIL’s 51 percent interest in the Changshu paper mill to UPM-K.

Gould Paper Corp. and WWF Paper Corp. announced a strategic Joint Venture with projected annual sales of the jointly owned Gould/WWF entities in excess of $1.6 billion.

DECEMBER Weyerhaeuser Company confirmed that on Nov. 6 it sent a letter to Willamette Industries, Inc. proposing to acquire all outstanding common stock of Willamette for $48 per share in cash.  The Willamette board met on November 10, but did not reach a decision.
